Terms of Service

1. Agreement to Terms

By accessing or using Prospect ("the Service"), operated by Prospect ("we," "us," or "our") at myprospect.app, you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, do not use the Service.

If you are under 18, you represent that your parent or legal guardian has reviewed and agreed to these Terms on your behalf.

We may update these Terms from time to time. We will provide at least 30 days' notice before material changes take effect, except that changes related to security updates, bug fixes, or court orders may take effect immediately upon notification. The updated version will be indicated by an updated "Last updated" date. Your continued use of the Service after changes constitutes acceptance of the updated Terms.

2. Description of Service

Prospect is a web-based college admissions planning tool that helps high school students build balanced school lists, estimate their chances of admission, and prepare application materials. The Service provides personalized school recommendations, admission probability estimates, essay brainstorming and feedback, mock interview practice, financial aid strategy guidance, and AI-powered counseling advice.

The Service is intended for your personal, non-commercial use only.

3. User Accounts

• You must provide a valid email address to create an account.
• You may also register using Google OAuth.
• You are responsible for maintaining the confidentiality and security of your account credentials.
• You must not share your account, sign-in links, or credentials with others.
• You must not sell or otherwise transfer your account or profile.
• You are responsible for all activity that occurs under your account.
• We reserve the right to suspend or terminate accounts that violate these Terms.

4. Subscriptions and Payments

• The Service offers a free tier with limited features and paid Pro subscriptions with full access.
• Pro subscriptions automatically renew at the interval you select (monthly or seasonal) unless cancelled before the renewal date.
• We accept payment via Visa, Mastercard, American Express, and Discover through our payment processor, Stripe. All payment data is handled directly by Stripe and is never stored on our servers.
• To cancel your subscription, contact us at prospectapp.ai@gmail.com. Cancellation takes effect at the end of the current billing period. You will retain access to Pro features until that date.
• Refund requests are handled on a case-by-case basis. To request a refund, contact us at prospectapp.ai@gmail.com.
• We reserve the right to change pricing with 30 days' notice to existing subscribers.

5. Acceptable Use

You agree NOT to:

• Use Prospect to generate essays, personal statements, or application content that you submit as your own work without substantial original contribution. Prospect is a coaching tool, not a ghostwriting service.
• Misrepresent AI-generated content as entirely your own original writing in college applications.
• Provide false academic credentials, test scores, or personal information.
• Use the Service to advertise or offer to sell goods and services.
• Use the Service for any unlawful, harassing, or fraudulent purpose.
• Attempt to access other users' accounts or data.
• Reverse-engineer, decompile, scrape, or abuse the Service, its API, or AI features.
• Use automated tools, bots, or scripts to access the Service beyond normal usage patterns.
• Interfere with or disrupt the integrity or performance of the Service.
• Circumvent any security measures or access controls.

6. AI Coaching and Ethics

Prospect provides AI-powered coaching, brainstorming, and feedback using third-party AI services (Anthropic's Claude API). The AI is designed to help you develop your own ideas and improve your writing. It does not write essays or application content for you.

• All content you submit in your applications must be substantially your own work.
• Prospect's AI features are designed to comply with the Common App's policies on AI use, and with individual institutions' AI ethics guidelines.
• You are ultimately responsible for ensuring your application materials meet the standards and policies of each institution to which you apply.
• Your input, output, and personal information may be shared with and processed by our AI Service Providers to enable the AI features. You must not use the AI features in any way that violates the terms or policies of any AI Service Provider.
• You may opt out of AI features at any time by simply not using them. The core profile, school list, and chancing engine work without AI.

7. Admissions Estimates Disclaimer

Chancing estimates, tier classifications, and school recommendations are for informational purposes only. They are based on statistical models using publicly available data and do not guarantee admission or rejection from any institution.

• Prospect is not affiliated with any college or university.
• Admissions decisions are made solely by individual institutions.
• Our estimates do not account for all factors considered in holistic admissions review.
• Past acceptance rates do not predict future outcomes.
• You should not rely solely on Prospect's estimates when making application decisions.

8. Intellectual Property

• Your content: You retain ownership of all essays, personal statements, and application materials you create using the Service.
• Our content: The Service, including its design, code, AI prompts, scoring algorithms, knowledge bases, and all related intellectual property, is owned by Prospect and protected by applicable intellectual property laws. You may not copy, modify, distribute, or create derivative works based on the Service.
• AI output: Feedback, coaching suggestions, and brainstorming prompts generated by the AI are provided as part of the Service and may be used by you in developing your application materials.

9. Third-Party Links and Services

The Service may contain links to third-party websites or services that are not owned or controlled by Prospect. We have no control over, and assume no responsibility for, the content, privacy policies, or practices of any third-party websites or services. You acknowledge and agree that Prospect shall not be responsible or liable for any damage or loss caused by or in connection with the use of any such third-party content, goods, or services.

10. Privacy

Your use of the Service is also governed by our Privacy Policy, which describes how we collect, use, and protect your personal information. By using the Service, you consent to our data practices as described in the Privacy Policy.

11. Disclaimer of Warranties

THE SERVICE IS PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR SECURE, OR THAT ANY DEFECTS WILL BE CORRECTED.

12. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, IN NO EVENT SHALL PROSPECT OR ITS OPERATORS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES ARISING FROM YOUR USE OF THE SERVICE, INCLUDING BUT NOT LIMITED TO:

• Admissions outcomes at any institution.
• Inaccurate chancing estimates or recommendations.
• Loss of data stored locally or in the cloud.
• Service interruptions or downtime.
• Actions taken based on AI coaching or feedback.

OUR TOTAL LIABILITY FOR ANY CLAIMS ARISING OUT OF OR RELATING TO THESE TERMS OR THE SERVICE SHALL NOT EXCEED THE AMOUNT YOU HAVE PAID TO US IN THE SIX (6) MONTHS PRECEDING THE EVENT GIVING RISE TO THE CLAIM, OR IF YOU HAVE NOT MADE ANY PAYMENTS, FIFTY DOLLARS ($50.00).

13. Dispute Resolution

13.1 Informal Negotiations

To expedite resolution and reduce the cost of any dispute, controversy, or claim related to these Terms ("Dispute"), you and Prospect agree to first attempt to negotiate any Dispute informally for at least thirty (30) days before initiating arbitration. Such informal negotiations commence upon written notice from one party to the other. Contact us at prospectapp.ai@gmail.com to initiate negotiations.

13.2 Binding Arbitration

If a Dispute cannot be resolved through informal negotiations, it shall be finally and exclusively resolved by binding arbitration. The arbitration shall be conducted in California, United States. If arbitration fees are deemed excessive, we agree to pay all arbitration fees. You agree that any arbitration shall be limited to the Dispute between you and Prospect individually. To the full extent permitted by law, no arbitration shall be joined with any other proceeding, and there is no right or authority for any Dispute to be arbitrated on a class-action basis.

13.3 Exceptions

Notwithstanding the above, either party may bring an individual action in small claims court or seek injunctive or other equitable relief in a court of competent jurisdiction in California to protect intellectual property rights.

14. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of California, United States, without regard to its conflict of law provisions. If a dispute proceeds in court rather than arbitration, it shall be litigated in the courts of the State of California.

15. Termination

We may suspend or terminate your access to the Service at any time for violation of these Terms, with or without notice. You may request deletion of your account at any time by contacting us at prospectapp.ai@gmail.com. Upon termination, your right to use the Service ceases immediately. Provisions of these Terms that by their nature should survive termination shall survive, including ownership provisions, warranty disclaimers, indemnity, and limitations of liability.
